The
PickManager.com Game of the Century (“Game”) is sponsored by PickManager.com,
a subsidiary of Dell Sports, Inc., a Nevada corporation. There
is no purchase necessary to enter or win. This contest is open to legal
residents of the United States who are eighteen (18) years or older
at the time of entry (“Participant” or “Participants”); however,
the contest is void where otherwise prohibited or restricted by law.
Employees of PickManager.com, its affiliates, licensees, franchisees,
advertising and promotional agencies and the immediate family members
of each are not eligible.
Duties of Participants; Limitation of Liability
By entering, Participants agree to
be bound by these rules and the decisions of PickManager.com which shall
be final. All federal, state, and local laws apply. PickManager.com
and the employees, officers, directors, shareholders, agents, and representatives
of PickManager.com, affiliates, subsidiaries, and advertising, promotion
and legal advisors are not responsible for and shall not be liable for:
(i) late, lost, delayed, damaged, misdirected, incomplete, illegible,
or unintelligible entries; (ii) telephone, electronic, hardware, or
software program, network, Internet, or computer malfunctions, failures,
or difficulties; (iii) errors in transmission; (iv) any condition caused
by events beyond the control of PickManager.com that may cause the contest
to be disrupted or corrupted; (v) any injuries, losses, or damages of
any kind caused by a prize or resulting from acceptance, possession,
or use of a prize, or from participation in the contest; or (vi) any
printing or typographical errors in any materials associated with the
contest.
Permissions
Except where prohibited by law, entry constitutes permission to use
Participant’s name, hometown and likeness for online posting, and/or
any advertising and publicity without additional compensation. Winners
may also be required to sign and return a release of liability, declaration
of eligibility and, where lawful, a publicity-consent agreement, as
conditions of receiving a prize. Failure to comply with the aforementioned
conditions shall be grounds for forfeiture of a prize.
No Warranty
Participant
acknowledges that PickManager.com, and its respective agencies and affiliates,
have neither made nor are in any manner responsible for any warranty,
representation or guarantee, express or implied, in fact or in law,
relative to any prize, including but not limited to their respective
quality. All prizes are awarded "as is" and without warranty
of any kind, express or implied, (including, without limitation, any
implied warranty of merchantability or fitness for a particular purpose),
except where the manufacturer of a specific prize offers a manufacturer’s

Violation of Rules
PickManager.com,
in its sole discretion, may disqualify any Participant or Participants
from participating in the Game, refuse to award points or prizes, and
require the return of any prizes, if Participant engages in any conduct
PickManager.com deems to be improper, unfair or otherwise adverse to
the operation of the contest or detrimental to other Participants. Such
improper conduct includes, but is not limited to, falsifying personal
information required during contest registration or prize claim, violating
any term or condition stated herein, accumulating points or prizes through
methods such as automated computer scripts or other programming techniques,
allowing others to use the Participant's personal information for the
purpose of accumulating points or prizes, tampering with PickManager.com’s
administration of this promotion, or intentionally trying to defraud,
reverse engineer, disassemble, recompile or otherwise tamper with the
computer programs on this Web site. Entrant further acknowledges that
the forfeiture of prize(s) and/or return of any prize(s) shall in no
way prevent PickManager.com from pursuing any and all available legal
relief.
Release
of Liability
By participating,
Participants agree to these Rules and to the decisions of PickManager.com,
which shall be final in all respects; to release and hold PickManager.com,
including but not limited to its parent, subsidiaries and other affiliated
companies, advertising and promotion agencies and their respective directors,
agents and employees harmless from all liability, loss, including but
not limited to personal injury, death, or damage to reputation, attributable
in whole or in part, directly or indirectly, to their participation
in the Game or their acceptance and/or use of a prize or travel to or
from or participation in any prize-related activity.
Dispute
Resolution
Except where
prohibited, Participants agree that any and all disputes, claims and
causes of action arising out of or connected with this Game shall be
resolved in the state courts located in Mecklenburg County, North Carolina,
which courts shall maintain exclusive venue and jurisdiction over all
subject matter and persons participating in the Game. Any and
all claims, judgments and awards shall be limited to actual out-of-pocket
costs incurred by Participant with regard to this Game, but in no event
attorneys' fees, punitive, incidental, consequential or other damages.
All issues and questions concerning the construction, validity, interpretation
and enforceability of these Rules, or the rights and obligations of
Participants and PickManager.com and/or PickManager.com's agencies in
connection with the Game shall be governed by and construed in accordance
with the laws of the State of North Carolina, without regard for conflict
of law or choice of law rules (whether of the State of North Carolina
or any other jurisdiction) which would cause the application of the
laws of any jurisdiction other than the State of North Carolina.
Prize
Winner Requirements
Prize winners
(“Prize Winner” or “Prize Winners”) will be notified by e-mail
or regular mail within thirty (30) days after the date the winners are
determined. All Prize Winners will be required to submit valid
identification including their photo, social security number, and legal
identification to PickManager.com and to execute an affidavit of eligibility
and a liability/publicity release within thirty (30) days following
first attempted notification. Prize Winners will also be required complete
tax Form 1099-M in order to comply with Federal and State tax laws.
Failure to comply within this time period may result in disqualification
and awarding of the prize to the Participant with the next highest score.
All federal, state and local laws and regulations apply. Taxes are the
sole responsibility of the winners. Prizes are not transferable and
must be accepted as awarded, no cash equivalents, no substitutes (except
as set forth below). It is the responsibility of the Participant and/or
Prize Winner to keep all contact and e-mail information updated and
accurate. Winners should allow up to 6-8 weeks after their return of
signed, notarized affidavits to receive their prize. No prize substitution
except at PickManager.com's sole discretion due to prize unavailability
for any reason and only then for prize of comparable value, or actual
cash equivalent of the prize. Prize returned as undeliverable
or otherwise not claimed within fourteen (14) days after being sent
will be forfeited and awarded to an alternate winner. All entries will
be declared made by the registered Participant of the e-mail address.
If a Prize Winner is disqualified, an alternate winner (“Alternate
Winner”) will be selected. PickManager.com is only obligated to contact
a single Alternate Winner. In all instances in which PickManager.com
notifies, or seeks to deliver a prize to or otherwise attempts to contact
an Alternate Winner, if such Alternate Winner is unavailable or disqualified
or if the prize is returned as undeliverable, then PickManager.com may
choose either not to award the prize or to donate it to another person
or entity, in its sole discretion.
Disclaimers
PickManager.com
reserves the right to modify these rules for clarification purposes
without materially affecting the terms and conditions of the Game. This
is a skill contest designed to increase consumer awareness of and interest
in PickManager.com contests and college basketball. This contest may
not be used for any form of gambling. Neither the Game nor PickManager.com
are in any manner an affiliate of, licensed by or otherwise associated
with the National Collegiate Athletic Associations, its members or the
colleges and universities which participate in its various divisions.
The Game may not be used in connection with any form of gambling. The
Game is strictly for entertainment purposes only.In the event that any legal or regulatory authority challenges
the Game, PickManager.com reserves the right to discontinue or modify
the Game, or to disqualify Participants residing in the affected geographic
areas. In such event, PickManager.com shall have no liability to any
Participants who are disqualified due to such an action.

The Registration
Process
Each Participant
must complete the registration process to become eligible to play. The
registration is a simple process that involves filling out your contact
information, team name creation, and password selection. Once you create
a member ID (your email address), choose a password, and select your
entry (team) name, you will then be given the opportunity to start making
your bracket selections. The bracket matchups will be posted on Sunday
March 15th, 2009. Any Participant who registers for the contest
prior to this date will not be allowed to select their bracket until
the official bracket is released on the evening of March 15th
2009.
Tournament Information
The NCAA Men's
College Basketball Tournament runs from Thursday March 19th,
2009 through Monday April 6th, 2009. On Sunday March 15th,
2009, the Selection Committee will announce the bracket pairings for
the first round games. There will be one "play-in" game on
Tuesday March 17th. The winner of this game qualifies for
the final spot in the 2009 Men's College Basketball Tournament. However,
for this contest, the winner of the “play-in” game will be named
the “Play-in Winner” (see below). By Sunday evening on March 15th,
the complete bracket pairing is available for all Participants. At this
time, each Participant will be allowed to login and make their selections
for their chance to win “The PickManager.com Game of the Century”.
Making Your Selections
Participants
can make their selections by clicking on the icon located at the top
left of the home page or by selecting “Make Picks” on the navigation
bar. This will lead you to a page displaying the bracket for the 2009
Division 1 Men’s College Tournament. From this screen, Participants
will make their selections. To make your team selections, simply click
the team name to advance them to the next round. If you make a mistake,
you can select the opposite team in the previous round or you can also
choose the "clear picks" button and start over again. It's
that easy. After you have completed the bracket, you must click the
“Submit” button to confirm and store your bracket. Once you click
the “Submit” button, your picks will display as stored.
The
“Play-In Winner”
This contest
will contain a "Play-In Winner" selection that is one of the
possible selections (teams) in the first round. The "Play-In Winner"
will actually represent both teams that play in the Tuesday game before
the tournament
Selecting Teams Close To
The Deadline
Any Participant
attempting to make team selections close to the deadline risks the chance
of not submitting his/her changes on time. We are not responsible for
late entries, server congestion, faulty Internet connections, etc.,
which may cause the changes to your picks to not be made.
Winning
the Game
Participants
are ranked according to their cumulative point score, based upon the
default scoring system. The Participant with the highest number of cumulative
points that is not a valid perfect bracket at the end of the tournament
wins the Grand Prize. Tiebreaker rules may apply. In the event that
any Participant(s) select a valid perfect bracket (the correct selection
of all 63 matchups) prior to the start of tournament (March 19th
2009 at Noon ET unless otherwise noted), the winner(s) will receive
$100 Million U.S. Dollars (as described elsewhere in these Rules). Multiple
Participants with valid perfect brackets will split the
prize on a pro rata basis. This prize is considered the “Ultimate
Prize”.
Game of the Century Prizes
There will
be multiple prizes for the Game. There will be several prize levels
associated with the Game.
The Ultimate Prize
Any Participant(s)
who selects a valid perfect bracket (the correct selection of all 63
matchups) prior to the start of tournament (March 19th 2009
at Noon ET unless otherwise noted), the winner(s) will receive $100
Million U.S. Dollars (as described elsewhere in these Rules). Multiple
users with valid perfect brackets will split the
prize. This prize is considered the “Ultimate Prize”.
The
Grand Prize
Participants
are ranked according to their cumulative point score, based upon the
default scoring system. The Participant with the most points at the
end of the game wins. The Participant with the highest number of cumulative
points at the end of the tournament wins the Grand Prize. Tiebreaker
rules may apply.
The Grand Prize
winner will receive the “PickManager.com Sports Cave”. This is a
collection of furniture, electronics and sports accessories that (when
placed in one area) can outfit a room just for sports fans. The “PickManager.com
Sports Cave” includes: a Flat Screen Television, a surround sound
system, and furniture from La Z Boy (including:
a row of reclining entertainment chairs, a large coffee table and two
additional chairs). Please note that neither La Z Boy,
nor any of its agencies or affiliates, are a sponsor of the Game, but
rather are a provider of the goods or services described herein.
Weekly Prizes
Each Monday
during the Game (February 9th, 2009 through April 6th, 2009), one La
Z Boy recliner will be award to one lucky Participant who participates
in the weekly poll question(s). The weekly poll question(s) will be
available from Monday Noon ET through Sunday Midnight ET each week.
Any Participant who does not participate in the weekly poll will not
be eligible for the weekly prize for that week. During this promotion,
a total of 8 recliners will be awarded. Winners will be selected through
a random drawing.
Other Prizes
Local media
partners and other websites may have additional prizes for their contest
and participants. Check the prizes section under the support tab to
see if additional prizes are being offered in addition to the national
prizes offered by PickManager.com.
Tiebreaker Rules
In the event
of a tie between two (2) or more Participants, the winning Participant
will be determined by the following tiebreakers, in order of listing:

Picks
Tiebreaker #2 - Riskiest Upset Picks
Tiebreaker #3 - Random drawing
Tiebreaker
#2 calculation: Each bracket is evaluated using the exclusive risk
assessor, which computes the risk of each chosen upset versus historical
tournament results. Once the Participant’s bracket is finalized, their
associated “Minimum Risk” will be stored in our system and displayed
in the standings. The bracket that is deemed riskiest (highest Minimum
Risk rating) by this methodology wins this tiebreaker.
Any further ties are left as ties in the standings. The tie-breaking
system above represents the default tiebreaking system. Each media partner
can choose their own scoring and tie-breaking system. If they select
their own tie-breaking system and/or scoring it will be added into the
rules and clearly stated. In all cases, an entry that does not win a
tiebreaker is eliminated from consideration. Anyone who makes a confirmed
perfect (all picks correct) bracket in advance of the tournament matching
all of the actual tournament winners will receive $100 Million U.S.
Dollars (as described elsewhere in these Rules) or a pro rata percentage
of the Ultimate Prize if more than one Participant tie.
Round Tiebreakers
Participants
are ranked according to their cumulative round score also. The Participant
with the most points at the end of the round wins that particular round.

Scoring
Disputes
PickManager.com
will post the scores shortly after every day’s games for each round,
unless unforeseen complications arise. If you have a scoring dispute,
please click on the support link in the navigation bar and submit a
request 24 hours prior to start of each round. Any disputes arriving
after this time will not be addressed. All scores are final following
the start of the next round. PickManager.com reserves the right to deny
any scoring inaccuracies at any time due to circumstances beyond our
control. It is each Participant's responsibility to confirm their own
selections. Participants should verify their selections on the "My
Picks" page located on the navigation bar at the top of the home
page.
Winning Strategy
There is a great deal of strategy that goes into the bracket challenge
game. Some Participants wish to select their favorite teams. Some Participants
will want to pick the highest ranked teams to meet in the finals. There
are many different strategies that have won. College basketball is a
great sport, so whatever your strategy, remember to have fun and enjoy
the game.
Additional
Ultimate Winner Information
The Game is
fully insured by Emirat AG, an international marketing and insurance
provider. Upon verification, the Ultimate Prize Winner will receive
$1 Million U.S. Dollars in the form of an instant cash payout from the
Contest Insurer. Beginning after the first year, the Ultimate Prize
winner will receive monthly cash payments of $25,000 U.S. Dollars for
the next 50 years. A final cash payment of $84 Million U.S. Dollars
will be paid after 51 years. If there is more than one Ultimate
Prize Winner, the prize will be split into equal parts on a pro rata
basis, contingent upon the number of Ultimate Prize Winners.
